Managed Job Search Service Agreement

This agreement governs an accepted client engagement together with the completed Service Order and separate authorizations.

Applies prospectively

This version applies when it is actually accepted for a new engagement. It does not retrospectively change an existing agreement.

Effective for a client when the completed Service Order and this version are accepted by both parties. Monthly service begins only on the separately authorized activation date.

1. Parties, acceptance, and document order

This agreement is between YANA Careers, LLC, operating under the BORAKA trading brand, and the client identified in the accepted Service Order. Our business and mailing address is 2001 L Street N.W., Suite 500, Washington, DC 20036, United States. Service contact: support@boraka.co, office +1 (850) 820-6296, fax +1 (850) 967-2618.

The agreement becomes effective when both parties accept the completed Service Order and version 1.4 of this agreement, initially issued and last updated October 4, 2026. Payment, application submission, or attendance alone is not consent to future recurring charges. The monthly service requires its own activation authorization.

Your Service Order specifies scope, role families, deliverables, timing, and contact methods. The Billing, Cancellation and Refund Policy forms part of this agreement. Mandatory law prevails over all documents. A specific variation in your signed Service Order must identify what it changes and may not reduce nonwaivable rights. The Privacy Notice explains data use; it is not a waiver of privacy rights.

This agreement applies only to a new enrollment expressly made under it. Existing clients retain their current agreements and any separately accepted continuation arrangement. Earlier promises, guarantees, or extensions owed to an existing client are not removed by publishing this agreement.

2. Suitability and lawful availability

We assess your goals and service fit before accepting enrollment. We also confirm that the service and proposed fee arrangement may be offered in the applicable jurisdictions. We do not accept a service order where required eligibility or legal clearance is unresolved.

Candidate-directed career services. The candidate is BORAKA's client under this agreement. Our role is to develop the candidate's career plan and materials, provide coaching, organize the search, and perform specifically authorized research and application-support tasks. We do not act under a hiring mandate to recruit or select personnel for an employer, employ the candidate for assignment to another business, or make hiring decisions.

Basis of the fees. The fees relate to the defined services and deliverables in the Service Order and authorized monthly service periods. They are not a payment to an employer, the purchase of a vacancy, a placement commission, or a percentage of salary. No fee becomes due merely because an employer hires the client. This description does not make an unperformed service earned or eliminate cancellation, refund, or other mandatory rights.

Candidate control and continuing value. You choose your target roles and approve your career plan and parent resume. You attend interviews, make employment decisions, and retain the agreed rights in completed individualized materials. Research and application assistance are limited to your recorded authority and permitted methods; they are not a general power to represent or bind you.

Applicable requirements. The description of our service does not determine a statutory classification or exclude a law that applies to the actual work. Any legally required designation, disclosure, fee restriction, or consumer protection prevails. The Service Order includes any additional terms required for an authorized market.

This is not legal, immigration, medical, psychological treatment, or financial-advisory service. We will not invent qualifications or represent that training substitutes for experience or authorization an employer requires.

3. Stage one: Career Launch Package

The one-time package fee is $997 in U.S. dollars, plus any tax disclosed before purchase. Where lawful, the agreed payment point is enrollment before launch work begins, as stated in the Service Order. We will not collect a fee at a time or in a manner prohibited by applicable law. Any required alternative must be expressly agreed before acceptance; a checkout setting cannot silently change the agreement.

Within the scope in your Service Order, the package includes:

  • Review of your resume, intake, background, constraints, and suitable target roles; a draft career plan provided before the planning meeting.
  • One one-hour career-planning session with Coach Rudy, followed by a revised plan for your approval.
  • Development and human review of a parent resume, your factual review, agreed corrections, and final approval.
  • Role-specific resume versions derived from the approved parent resume for the agreed role families.
  • LinkedIn positioning materials, implementation guidance and prerecorded walkthroughs, with review of your implementation.
  • Internal search instructions for the application team, dedicated search-email setup support, and the launch handoff.

The Service Order must identify included versions, revision scope, delivery formats, and exclusions before payment. Corrections to our factual errors are not treated as a paid expansion of scope. New role families or a materially different direction require a separately agreed scope change, not a surprise charge.

The target is about one working week when intake, scheduling, information, and approvals are prompt. It is an estimate, not an unconditional deadline. We identify important dependencies and communicate a revised schedule when needed. A delay does not authorize monthly search billing before activation.

You may stop after the launch package. Buying it does not require you to subscribe. Refund treatment for work already begun is described separately; simply declining the monthly service does not forfeit your completed materials.

4. Approval and factual integrity

You approve the revised plan and final parent resume. Those approvals set the factual and targeting basis for subsequent work. Routine role-specific tailoring may change emphasis, order, and wording but may not introduce new qualifications, employers, dates, achievements, or metrics without verification and any needed approval.

Silence is not factual approval. Where a necessary approval is missing, we pause the affected task and tell you what is needed. You should provide corrections promptly and update changes to your preferences or eligibility. Your review does not release us from responsibility for errors we introduce or obligations imposed by law.

5. Stage two: Managed Job Search

The monthly fee is $797 in U.S. dollars, plus disclosed applicable tax. Monthly service starts only after essential materials and criteria are approved, a specific activation date is agreed, and you separately authorize recurring billing. No free trial, fixed $5,000 debt, minimum number of renewal months, or salary-percentage success fee is created by this offer.

Active service includes sourcing and authorized applications within your agreed criteria; weekly reporting; review of targeting and execution; a day-45 search review; agreed monitoring and coordination of recruiting responses; recurring live group coaching on Friday at the time communicated in Circle; one-to-one preparation for each genuine scheduled interview round; written-offer decision support; and the included bonuses while active.

Your activation record states operating expectations, search channels, reporting arrangements, coaching schedule, booking process, and business hours. There is no universal application quota. We prioritize suitable opportunities and explain shortages, blockers, and changes rather than counting unsuitable submissions as performance.

We do not change agreed geography, seniority, compensation parameters, work arrangements, or employer exclusions without your approval. We do not represent that we have an employer mandate or a special relationship with a company unless that is true and disclosed.

6. Interview preparation, Friday coaching, and offer support

Day-45 search review. If no qualifying interview has occurred within 45 days after the activation date while the subscription is active, Coach Rudy provides one one-to-one strategy reset session and the team reviews targeting, resume versions, and application mix and proposes a revised search plan for your approval, at no additional charge. A qualifying interview is a live conversation with an employer's recruiter, HR, or hiring team about a role within the approved search criteria. Agreed pauses and payment holds do not count toward the 45 days. This review is a service commitment, not a guarantee of an interview, offer, or employment.

Included bonuses. While the monthly subscription is active, you receive at no additional charge: (a) access to Competency Labs Premium practice features, subject to the Competency Labs terms; (b) access to the BORAKA Interview Vault resources; and (c) if you accept an employment offer while the subscription is active, one 45-minute First 90 Days session with Coach Rudy and the First 90 Days checklist, scheduled at a mutually agreed time. Bonuses have no cash value and are not separately refundable. Competency Labs Premium access under this bonus ends when the subscription ends.

While monthly service is active, preparation is included for every genuine scheduled interview round relevant to your agreed search, including interviews you obtain independently. Appointments normally last 30-45 minutes. There is no hidden monthly cap and no extra per-round fee.

The benefit covers preparation for a scheduled round, not unlimited general coaching appointments or repeated full-length rehearsals for the same round. Relevant follow-up questions use the agreed support channel. You attend interviews and complete employer assessments yourself; we do not impersonate you, supply answers during a live assessment, or take a test for you.

Share invitations, job details, and the known format promptly. Short-notice appointments are best effort, not a promise of immediate or 24-hour availability. We manage capacity to support the agreed benefit. If we cannot provide a promised appointment after reasonable notice, we offer a reasonable alternative or consider an appropriate remedy; an availability statement is not a waiver of delivery obligations.

Live group coaching is scheduled on Fridays while your subscription is active. The current time, time zone, booking details, and any notified schedule changes are provided in Circle. A calendar illustration on the sales page shows an example weekly rhythm, not a booked appointment or a promise of interviews or offers by a particular week.

While your subscription is active, Coach Rudy provides offer-decision support when you receive an offer. Together, we review the responsibilities, stated compensation and benefits, work arrangements, growth opportunities, and your priorities, and prepare questions for the employer. You make the final decision and sign any acceptance. This support does not promise an offer, authorize us to bind you or negotiate on your behalf, or replace legal, tax, investment, or immigration advice.

Respond to interview invitations promptly, with a target of within 24 hours after receipt and sooner where the employer's deadline requires. Share the invitation and role details with us and tell us about planned unavailability or response barriers. This is a cooperation expectation, not an automatic fine, forfeiture of fees, or guarantee of an employer outcome.

Give advance notice when rescheduling. There is no undisclosed no-show fee or automatic forfeiture of interview-round support. Repeated missed appointments may require a scheduling plan. If BORAKA cancels, we arrange an appropriate replacement. Group schedule changes are communicated with a reasonable replacement or other agreed remedy where necessary.

Circle is used for program information, resources, and group participation. Do not post candidate-private records in group spaces. Attendance does not itself consent to recording or publication.

7. Candidate authorization and account access

Before applications begin, you complete the Candidate Authorization specifying approved materials, criteria, and permitted actions. We may submit only supported factual information within that authority and only where the platform permits assistance.

You personally handle declarations or steps requiring your own signature, judgment, assessment, or consent, including legal attestations, background-check permission, identity verification, and employment contracts. Sensitive demographic, health, disability, veteran-status, immigration, and criminal-history answers are not guessed. We refer such questions to you and minimize what our team stores.

You own the dedicated search email and retain recovery control. Access uses an agreed secure and platform-permitted method with limited permissions. We do not request passwords through public forms, community posts, or ordinary document uploads. BORAKA never logs in to, operates, or uses your personal LinkedIn account. You implement LinkedIn changes and personally handle LinkedIn-only, Easy Apply, and other restricted actions. Job links and referrals you send are optional, not a requirement or substitute for our sourcing; we check fit, duplicates, and referral instructions before any supported action.

You may narrow or revoke application authority. We stop new actions within the revoked scope and explain how that affects the service. When you tell us to stop the search, we also offer to stop future renewals immediately rather than treating the request as an invitation to keep billing without useful work.

8. Fees, renewals, and changes

The $997 launch package does not include the first active-search month. If both stages begin in one calendar month, total service fees that month are $1,794, before applicable tax. The total cost rises with each authorized monthly period.

You receive the amount, activation date, exact renewal dates and time zone, cancellation methods, and a copy of the recurring authorization before the first recurring payment. Future renewal terms and reminders follow the Billing, Cancellation and Refund Policy and applicable law.

Optional extra work requires a separate written scope and price. We do not impose a new service rate on an existing subscription without notice and express agreement. Without agreement to a proposed new rate, we either continue on existing terms or give notice that service will end after the paid period, without taking an unauthorized higher payment.

9. Ending service, refunds, and materials

You may cancel future renewals at any time by emailing support@boraka.co. No exit fee, minimum renewal term, or mandatory retention call applies. Cancellation of future charges and a refund request are separate, subject to mandatory law. Service normally remains available through the paid-through date unless you request an earlier stop or the parties agree otherwise.

We may suspend unsafe, unlawful, or unauthorized activity and tell you why. For other material cooperation or conduct issues, we first explain the issue and provide a reasonable opportunity to resolve it where practicable. Termination does not create an automatic right for us to keep unearned fees. Refund and handoff duties still apply.

At closing, we confirm future billing has stopped, provide completed client materials and available application records, and remove our access to your accounts as appropriate. At the paid-through expiry, managed sourcing and applications, ongoing monitoring and reporting, live group coaching, private interview and offer support, and subscription-only Circle resources stop. We remove only entitlements tied to this subscription, not the client's entire Circle account, free spaces, CREP, CRMP, Competency Labs, or separately purchased and unexpired benefits. Your preexisting content remains yours. You receive a continuing right to use, edit, and share your completed individualized materials for your career purposes after cancellation. BORAKA retains its underlying general templates and methods, not ownership of your career history. A dispute does not authorize us to lock you out of your own email.

10. Privacy, tools, confidentiality, and reviews

We use your information for the agreed work as described in the Privacy Notice. Authorized staff and contractors may perform parts of the service with appropriate restrictions. We remain responsible for managing our delivery obligations; outsourcing is not a disclaimer of accountability.

AI may assist with drafts and organization. A person reviews career plans and materials; you approve the factual foundation. Personal data is used only in approved service tools under the safeguards described in the Privacy Notice. Meeting recordings or AI transcription require the separate notice and permission process.

Neither party should disclose the other's genuinely confidential information except as needed for the service, permitted by law, or authorized. This does not restrict honest reviews, reporting suspected misconduct, cooperating with authorities, seeking legal advice, or exercising payment-dispute rights. There is no requirement to give a positive testimonial or transfer ownership of a review.

11. Outcomes, standard of care, and disputes

We commit to the agreed services with reasonable care and skill, not to a hiring decision, interview count, salary, sponsorship, or deadline controlled by others. A lack of employment does not automatically prove nonperformance; equally, a results disclaimer does not excuse missing promised work.

No clause excludes liability that cannot be excluded or waives consumer protections, statutory remedies, or claims arising from fraud, willful misconduct, gross negligence, or unlawful handling of personal data. This agreement does not impose a blanket client indemnity or an automatic liability cap.

You may raise a concern at support@boraka.co. Informal resolution is encouraged, not a prerequisite to a regulator complaint, lawful chargeback, or court action. Maryland law applies only insofar as it does not displace mandatory local protections. You retain access to courts with lawful jurisdiction. No mandatory arbitration, class-action waiver, or shortened legal limitation period is included.

12. Entire service scope and signatures

The accepted Service Order, this agreement, the Billing, Cancellation and Refund Policy, and separate recorded authorizations document the service. No side message can authorize a prohibited fee, fabricate a guarantee, or reduce a mandatory right. Any material amendment is recorded in writing and supplied to you.

The private Service Order records the client legal name, each party’s acceptance, authorized representative, and acceptance dates. Those private fields are not displayed on the public website.
